1. Service Scope & Eligibility
BizedHMS provides cloud-based hospital management software, including electronic patient queues, clinical records, doctor workbenches, clinical decision support (CDS), electronic pharmacy dispensing, M-Pesa billing, and Social Health Authority (SHA) claims connectivity.
By registering an account or using the platform, the healthcare facility warrants that it is a lawfully registered health facility or provider under the laws of Kenya and that all users operating under its account are authorized personnel.
2. Clinical Decision Support & Medical Responsibility
BizedHMS is designed to support, assist, and streamline administrative and clinical workflow. Features such as Clinical Decision Support (CDS), drug-drug interaction warnings, standardized ICD-10/11 search, and dosage recommendations are advisory reference tools only.
Ultimate Clinical Judgment: All final medical diagnoses, treatment plans, prescriptions, surgical procedures, and triage assessments remain the sole and exclusive professional responsibility of licensed medical practitioners, doctors, clinical officers, nurses, and pharmacists in charge of the patient.
3. 100% Facility Data Ownership & Portability
The registered healthcare facility retains 100% proprietary ownership of all patient health records, clinical files, diagnostic reports, and financial ledgers entered into BizedHMS.
- No Vendor Lock-in: Healthcare facilities may export their data at any time in standardized industry formats (FHIR R4 JSON, CSV, PDF) without arbitrary restrictions.
- Post-Termination Transition: In the event of contract termination, BizedHMS provides a minimum 60-day migration window to safely extract and archive all patient records in accordance with Ministry of Health record retention mandates.
4. Service Level Agreement (SLA) & Continuity
BizedHMS commits to a 99.9% system availability SLA (excluding pre-announced scheduled maintenance windows outside peak clinic operating hours).

5. M-Pesa & SHA Insurance Claims Integration
BizedHMS integrates directly with Safaricom Daraja API for M-Pesa STK push payments and with Social Health Authority (SHA) AfyaConnect / CIHIS endpoints for e-claim submission. While BizedHMS guarantees the transmission integrity of electronic invoices and claims, final financial settlement and claim adjudication are governed by the respective payment providers and government authorities.
6. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the Laws of the Republic of Kenya, including the Health Act 2017, Digital Health Act 2023, and Data Protection Act 2019. Any dispute arising under this agreement shall be submitted to mediation under the Nairobi Centre for International Arbitration (NCIA) rules prior to litigation.
